Terms of Service

1. Agreement to terms
By accessing or using GFSSoft ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Description of service
GFSSoft is a cloud-based wholesale management platform that integrates with MYOB AccountRight to provide product catalogue management, sales ordering, business analytics, and related services.
3. Account registration
- You must provide accurate and complete business information during registration
- You are responsible for maintaining the security of your account credentials
- You must be an authorised representative of the business you register
- One account per ABN unless otherwise agreed
4. Subscription and payments
- GFSSoft offers tiered subscription plans (Starter, Professional, Enterprise)
- Payments are billed monthly in Australian Dollars (AUD)
- Free trial periods may be offered at our discretion
- You may cancel your subscription at any time; access continues until the end of the billing period
- Refunds are not provided for partial months
5. MYOB integration
- GFSSoft accesses your MYOB AccountRight data via the MYOB API with your authorisation
- You are responsible for ensuring your MYOB subscription is active and properly configured
- GFSSoft is not responsible for data loss or errors within MYOB itself
- We do not modify your MYOB data except as explicitly requested through our platform (e.g., creating orders/invoices)
6. Acceptable use
You agree not to:
- Use the Platform for any unlawful purpose
- Attempt to gain unauthorised access to other accounts or systems
- Reverse engineer, decompile, or disassemble any part of the Platform
- Share account credentials with unauthorised persons
- Use automated tools to scrape or extract data from the Platform
7. Data ownership
You retain full ownership of your business data. GFSSoft does not claim any ownership rights over your product, customer, or sales data. We act solely as a processor and service provider.
8. Service availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by MYOB API unavailability, hosting provider issues, or force majeure events.
9. Limitation of liability
To the maximum extent permitted by Australian law, GFSSoft's total liability for any claim arising from use of the Platform shall not exceed the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Termination
We may suspend or terminate your account if you violate these terms. Upon termination, your data will be available for export for 30 days, after which it will be permanently deleted.
11. Changes to terms
We may modify these terms at any time. Continued use of the Platform after changes constitutes acceptance. Material changes will be notified via email.
12. Governing law
These terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of New South Wales.
